Where deals are protected by law.
We do not stop at advocacy — we build deals that stand when advocacy is needed.
EnterThe circles
Eight circles for three needs: the transaction when it is written, the regulation when it is required, and the risk before it lands.

Who leads the file
Omar Alhawas
Founding Partner, Lawyer and Notary
Advises on corporate finance, capital markets and cross-border deal structures. Admitted in 2020, with six years of practice at the centre of the Saudi market.
Deals here are written by a lawyer who has stood in the courtroom where other firms’ deals came apart: we do not stop at advocacy — we build deals that stand when advocacy is needed.
Thirteen final judgments stand in the founder’s own name.
Licensed with the Saudi Bar Association since 2020; commissioned notary; credentials available on request.
Three steps, written down
We listen first
One meeting in which we understand the matter as it is — not as it is usually told.
We diagnose in writing
One page: where the matter stands in law, its routes, and what we see.
We work to an agreed scope
A named scope, fees agreed in writing, a weekly report — no open hours, no surprises.
The record
Matters are described by the party’s character, never by name, unless the client has agreed in writing.
Capital markets
The record opens at closing
Advising a Saudi issuer, term sheet to closing — entered here the day the file closes.
Cross-border
The record opens at closing
A foreign group’s entry into the Kingdom, formation to operation — entered when the file closes.
Arbitration
The record opens at closing
The Saudi-law co-counsel seat beside an international team — entered when the seat is held and closed.
The record is entered as matters close — nothing is written here before it is earned.
Views on the law as it moves
We publish when a rule changes and a client needs to know what it means — not for the sake of publishing. A note every eight weeks.
September 2026
The new procurement law: what a government contractor settles before 2 January 2027
The new Government Tenders and Procurement Law was published on 4 September 2026 and takes effect on 2 January 2027; its implementing regulations follow within the same period. A contractor that waits for them will be reading the rules in the middle of its next bid.
September 2026
A market open to every foreign investor: what a listed company prepares on its side of the register
Since 1 February 2026 any foreign investor may buy shares on the Main Market directly. The limits did not move; the shareholder base will. The work falls on the issuer as much as on the investor.
September 2026
The regional headquarters: licence, substance and the contracting rule
For a multinational group that sells to government, the regional headquarters now decides access to the contract. It also brings obligations of substance from the first year.
September 2026
The arbitration clause, written at deal time
It is usually the last clause agreed and the first one read when a deal goes wrong. Written properly at the start, it decides where a dispute ends, under which rules, and how quickly.
